This Affiliate Agreement (“Agreement”) is entered into between Diginetics LLC (“Diginetics,” “we,” or “us”) and the individual or business entity applying to or participating in the Diginetics Affiliate Program (“Affiliate,” “you,” or “your”). By submitting an application or participating in the Program, you agree to be bound by this Agreement and the Diginetics Terms of Service available at diginetics.io.

SECTION 1. PROGRAM APPLICATION & APPROVAL

1. Discretionary Approval: Diginetics reserves sole discretion to approve, deny, or revoke any Affiliate application or account at any time for any reason.

2. Contact Consent: You consent to receive program-related communications via email and SMS at the contact details provided in your application. You may opt out at any time by contacting [email protected].

SECTION 2. PROGRAM RULES & MARKETING GUIDELINES

To remain in good standing and earn commissions, you must adhere strictly to the following rules:

* Legal Compliance: You must comply with all local, state, and federal laws, including FTC endorsement guides (16 CFR Part 255) and the CAN-SPAM Act.

* Required Disclosures: Any channel promoting Diginetics must display a clear, conspicuous affiliate disclosure (e.g., "Disclosure: I am an independent affiliate. I earn a commission if you purchase through my link.").

* Social Media Tags: All social posts promoting Diginetics must include #ad or #paidpartnership conspicuously before any description expansion (e.g., before the "More" button) and tag #GoDiginetics.

* No Earnings Guarantees: You may not guarantee, express, or imply that prospective users will earn money or build a "business-in-a-box" using Diginetics. You must display: "Results vary based on individual effort. No earnings are guaranteed."

* Prohibited Channels & Tactics: You may not:

1. Bid on Diginetics brand keywords in Pay-Per-Click (PPC) ad campaigns (e.g., Google Ads) unless authorized in writing.

2. Use cookie-stuffing, iframe masking, pop-ups, or redirect scripts.

3. Send unsolicited spam via email, SMS, or social media channels.

4. Perform "self-referrals" (earning commissions on your own subscriptions).

5. Promote Diginetics on sites containing adult, gambling, illegal, or discriminatory content.

SECTION 3. COMMISSION STRUCTURE & PAYOUT TERMS

1. Payout Schedule: Commissions are flat-rate bounty payouts awarded per successful subscription sale tracked via your unique affiliate link ():

2. Payout Qualifications & Payout Windows:

* Monthly Subscriptions (45-Day Holding Period): For referred customers on monthly billing plans, commissions are considered fully earned and payable after 45 days, requiring the referred customer to successfully complete two (2) consecutive monthly payments.

* Annual Subscriptions: For referred customers who pay for an annual plan upfront, the two-payment requirement does not apply. Annual subscription payouts are eligible for processing in the standard monthly payout cycle immediately following successful payment verification.

* Payout Schedule: Approved, earned commissions are paid on a Net-30 basis (processed on or around the 15th of each calendar month following the holding period).

* Minimum Threshold: A cumulative balance of $50.00 USD is required to trigger a payout. Balances below $50 carry forward. Unclaimed balances after 120 days due to incomplete tax (W-9/W-8) or payout details are subject to forfeiture.

* Refunds & Chargebacks: If a referred customer requests a refund or initiates a chargeback prior to the payout date, any credited commission will be canceled or deducted from your future payout balance.

SECTION 4. INTELLECTUAL PROPERTY

Diginetics grants you a limited, non-exclusive, non-transferable, revocable license to use official Diginetics logos, banners, and course training assets solely to promote Diginetics services under this Program. You may not alter official logos or claim ownership over any Diginetics trademarks or proprietary assets.

SECTION 5. TERM AND TERMINATION

1. Termination: Either party may terminate this Agreement at any time, with or without cause, upon written notice.

2. Forfeiture for Breach: Immediate termination resulting from a violation of Section 2 (Fraud, Spam, Misleading Claims, Self-Referrals) results in immediate forfeiture of all pending and unearned commissions.

SECTION 6. INDEPENDENT CONTRACTOR & LIABILITY

1. Relationship: You act solely as an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or franchise relationship.

2. Limitation of Liability: Diginetics shall not be liable for indirect, special, or consequential damages arising from the Program. Diginetics’ total liability shall not exceed the total commissions paid to you in the preceding three (3) months or $1,000, whichever is less.

3. Indemnification: You agree to defend and hold harmless Diginetics LLC, its officers, and operators against any claims, losses, or legal fees resulting from your marketing practices or breach of this Agreement.

SECTION 7. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of UTAH. Any disputes arising under this Agreement shall be resolved through binding individual arbitration administered in UTAH, and both parties waive any right to participate in class actions.
